TERMS AND CONDITIONS OF SUPPLY

Persons who engage the services of Noosa Prestige Cleaning Services (whether individual, manager, employee, contractor, friend, family member or otherwise) shall be bound by these terms and conditions of supply and hereinafter be referred to as the “Purchaser” or “Customer”.

Whereas:

Upon providing any form of acceptance or authorization, which may include; replies via invoice, estimate, work order or other format including email, SMS or digital pad or electronic medium “by the hand of the Purchaser”, the Purchaser acknowledges having read and understood these Terms & Conditions of Supply. In doing so, the Purchaser accepts and, agrees to fully comply with, the Terms & Conditions of Supply as set out below with regard to the provision of all goods & services intended or supplied by NPCS Trust trading as; Noosa Prestige Cleaning Services (ABN:83820977307) (Referred to hereinafter as “the Business”) as provided to “the Purchaser” from time to time.

  1. “The Purchaser” shall include any person(s) who requested any of the services of the Business. By providing such request whether by verbal or electronic means, that person undertakes to engage the Business in good faith. In doing so, the Purchaser gives their personal guarantee that payment of all amounts stated on the invoice will be made within the terms agreed herein.
  2. The Purchaser upon entering into these terms and conditions of supply, gives their unreserved consent to Noosa Prestige Cleaning Services, inclusive of its owners, employees, consultants, contractors, to enter the Service Address to carry out the agreed service or multiple services, in accordance with these terms and conditions.
  3. The Purchaser agrees that all payments for goods & services that are invoiced by Noosa Prestige Cleaning Services shall be paid by the Due date specified in the invoice.
  4. Title: Where goods are supplied, Property and Products will not pass to the Purchaser until the Purchaser has paid the Invoiced amount in full to NPCS Trust trading as; Noosa Prestige Cleaning Services.
  5. Payment of Services: The Purchaser must pay to Noosa Prestige Cleaning Services the Invoiced Price of the Goods & Services within the time specified in its invoice or statement issued with respect to the Services. Where the Purchaser DOES NOT pay the invoiced “NET TOTAL” within the “Payment Due” period specified, the invoiced NET TOTAL will increase to the amount stated as the “GROSS PAST DUE” amount, and this amount shall become the amount payable. If there is no amount specified as “GROSS PAST DUE” then the NET TOTAL shall be the amount owing in relation to the goods and services provided.
  6. Purchaser Fiduciary Agent: If the Purchaser supplies and delivers Products or Services, that have not been paid for in full, to a Sub-Purchaser, the Purchaser will do so only as the fiduciary agent of Noosa Prestige Cleaning Services.
  7. Conditions as to Part Delivery: Where Noosa Prestige Cleaning Services provides a service to the Purchaser in respect of part only of an order, the conditions of sale specified in this clause will apply to the services actually delivered to the Purchaser.
  8. Legal Costs: The Purchaser will pay to Noosa Prestige Cleaning Services the legal costs and expenses incurred by Noosa Prestige Cleaning Services (on a full indemnity basis), and other agents acting on their behalf (on a full indemnity basis) in respect of any recovery or attempted recovery of either the Purchaser’s Debt not paid for in full (whether in whole or in part) and the amount payable will form part of the Purchaser’s Debt.
  9. If the Purchaser is representing a company then the Terms and Conditions of Supply shall extend without dilution to the person who made the request for services, and the Director(s) jointly and individually to the extent that this clause operates as a Guarantee by each of the Directors that all goods purchased will be paid for in full within the Payment Due period stated in the tax invoice.
  10. The Purchaser gives its consent to Noosa Prestige Cleaning Services (the Contractor) to make inquiries about the Purchaser and on the Purchaser’s behalf to obtain any necessary information as to the credit worthiness or reliability of the Purchaser should it be deemed necessary.
  11. Noosa Prestige Cleaning Services shall not be responsible for primary or secondary damage caused by flooding or the affects of water, moisture or other substances, including but not limited to damage caused to items owned by or in the Purchaser’s possession.
  12. The removal and reinstatement of equipment or items to enable proper service access shall be the responsibility of the Purchaser. Noosa Prestige Cleaning Services shall not be responsible for damage to any items including fixtures or items unable to be moved or removed for cleaning.
  13. The cost of hiring any necessary equipment in the process of delivering the service, will be in addition to the services provided and will be charged to the Client at completion of the work, or as otherwise agreed in writing.
  14. The Cost of hiring any additional service contractors which may be coordinated by Noosa Prestige Cleaning Services shall be paid for by the Purchaser in accordance with Agreed Service Terms herein, either directly to the contractors or as part of the final tax invoice rendered by Noosa Prestige Cleaning Services, as instructed by Noosa Prestige Cleaning Services.
  15. Noosa Prestige Cleaning Services shall not be responsible for identifying the source or cause of any damage, infestation, inundation or flooding to the property or premises, but shall do everything within its control and within reason to avoid further damage occurring to the areas being treated. This may involve advising the Purchaser of the circumstances or potential outcomes for success based on known circumstances.
  16. Noosa Prestige Cleaning Services shall not be responsible for contractors hired or coordinated by the Purchaser, or the workmanship delivered as a result of their hiring.
  17. Noosa Prestige Cleaning Services reserves the right to terminate or postpone services where the personal safety of Technician(s) or associated contractors cannot be guaranteed, or in circumstances where it believes it is reasonably necessary. For example; safety, mitigation of costs, uncontrollable events, service delivery issues, and the like.
  18. Where services are terminated for any reason, the Client agrees to pay for all work up to the date and time of termination. Where applicable such payment shall include; hire costs, other contractor’s fees and traveling.
  19. This agreement constitutes the entire agreement between the parties and any prior understanding or representation of any kind preceding the date of this agreement shall not be binding on either party except to the extent incorporated in this agreement. This agreement is governed by the Laws of Queensland.
